Coinpilot - Terms of Service

Welcome to Coinpilot! These Terms of Service (“Terms”) are a binding legal agreement between you (“you” or “your”) and Coinpilot (“Coinpilot,” “we,” or “us”). These Terms govern your access to and use of the Coinpilot mobile application, website, and services (the “Services”). By accessing or using the Services, including but not limited to visiting the website, downloading the mobile app, or using the wallet and trading features, you agree that you have read, understood, and accepted these Terms.If you do not agree to these Terms, you may not access or use the Services.

1. Overview and Purpose

Coinpilot is a decentralized platform that enables users to automatically copy trade the strategies of top traders on-chain across various decentralized exchanges. Users can connect to the Services via non-custodial wallets created for them using infrastructure provided by Privy.io. Coinpilot facilitates automated execution of trades on the user’s behalf, but users retain full control over their funds and private keys at all times.

Important Note:
Coinpilot does not provide financial or investment advice. The Services are for informational and entertainment purposes only. You are solely responsible for all trading decisions made through the Services, and all trades are conducted directly through your non-custodial wallet.

2. Acceptance of Terms

By accessing the Services, you represent that:
You are at least 18 years old and of legal age to enter into a binding agreement in your jurisdiction.You have read, understood, and agreed to these Terms.You have the necessary authority to enter into these Terms if acting on behalf of a legal entity.If you do not meet these requirements, you must not use the Services.

3. Services Overview

Coinpilot provides users with the ability to:
1. Open non-custodial wallets using infrastructure provided by Privy.io. These wallets are fully controlled by the user, and Coinpilot does not have access to private keys or funds stored in the wallet.
2. Automate trading on decentralized exchanges by copying the strategies of top traders.
3. Execute trades using an API-based infrastructure that connects to supported decentralized exchanges on behalf of the user.

Key Limitations:

Coinpilot does not guarantee the execution of trades. Execution may be affected by outages, API limitations, or other restrictions imposed by third-party vendors and infrastructure providers.
‍• Coinpilot is not a broker, custodian, or intermediary. We do not hold or control user funds or private keys.
‍• Coinpilot does not provide personalized financial or investment advice.
‍• We do not guarantee the performance of any trading strategy or the profitability of trades conducted through the Services.

4. Wallets

When you use our Services, a non-custodial wallet is created for you using infrastructure provided by Privy.io. While Coinpilot does not have access to your funds or private keys, you acknowledge and agree to the following:

1. Coinpilot facilitates the creation of wallets for convenience, but you are solely responsible for maintaining control of your wallet.
2. Coinpilot is not responsible for any loss or unauthorized access resulting from your failure to secure your wallet, credentials, or private keys.
3. You authorize Coinpilot to use API keys and other infrastructure to automate trade execution on your behalf within the parameters of the Services.

When you use our Services, a non-custodial wallet is created for you using infrastructure provided by Privy.io. While Coinpilot does not have access to your funds or private keys, you acknowledge and agree to the following:

Important Notes About Wallets:
Coinpilot does not store or recover private keys. If you lose access to your wallet, Coinpilot cannot assist in recovery.
Certain tokens or transactions may not be supported by the Services. It is your responsibility to verify compatibility before initiating transactions.

5. Copy Trading

Coinpilot enables users to replicate trading strategies from other traders. By using the copy trading feature:

1. You acknowledge that all trades are executed at your direction and risk.
2. You authorize Coinpilot to execute trades on your behalf using automated infrastructure but retain full control of your wallet.
3. You agree that Coinpilot is not responsible for incomplete or inaccurate trade execution due to:

Vendor outages or API limitations.
Restrictions or parameters set by decentralized exchanges or third-party infrastructure providers.
Network congestion or blockchain-specific issues.

4. You understand that past performance does not guarantee future results, and cryptocurrency markets are highly volatile.

6. Risks and Assumptions

By using the Services, you acknowledge and accept the following risks:

1. Market Volatility: Cryptocurrency prices can fluctuate significantly in short periods, leading to potential losses.
2. Execution Risk: Trade execution may be delayed, incomplete, or inaccurate due to factors beyond Coinpilot’s control, including vendor restrictions, network congestion, or blockchain failures.
3. Smart Contract Risk: The Services rely on third-party decentralized exchange protocols and smart contracts, which may have vulnerabilities, bugs, or unexpected behavior.
4. Regulatory Uncertainty: Cryptocurrency markets are subject to changing regulatory environments, which could affect your use of the Services.

You are responsible for conducting your own due diligence before making any trades.

7. User Responsibilities

By using the Services, you agree that you will not:

1. Use the Services for any illegal or unauthorized purpose.
2. Attempt to interfere with or disrupt the Services, including through hacking, phishing, or other malicious activities.
3. Use the Services to engage in market manipulation, wash trading, front-running, or other prohibited trading activities.
4. Provide false or misleading information when registering or using the Services.

Coinpilot reserves the right to suspend or terminate your access to the Services if you violate these Terms.

8. Fees

Coinpilot may charge fees for accessing certain features or processing transactions. All applicable fees will be disclosed within the Services prior to execution.

Payment of Gas Fees:
Coinpilot will handle and pay blockchain gas fees on behalf of users. Users are not required to cover gas costs for transactions executed through the Services.

Taxes:
You are solely responsible for determining and fulfilling your tax obligations related to transactions conducted through the Services.

9. Disclaimers and Limitation of Liability

No Investment Advice:
Coinpilot does not provide investment advice or recommendations. You are solely responsible for all trading decisions made through the Services.

No Guarantees:
The performance of any trading strategy or asset is not guaranteed. All trades are at your own risk.

Limitation of Liability:
Any losses, damages, or expenses arising from your use of the Services.
Errors, delays, or interruptions in the execution of transactions.
Unauthorized access to your wallet or account.

10. Intellectual Property

All intellectual property related to the Services, including trademarks, logos, software, and content, is owned by Coinpilot or its licensors. You may not copy, reproduce, or distribute any part of the Services without prior written consent from Coinpilot.

11. Changes to the Terms

Coinpilot reserves the right to modify these Terms at any time. Any changes will be effective upon posting to the website or app. Your continued use of the Services constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Hong Kong, without regard to conflict of law principles.

Arbitration Agreement:
Any disputes arising out of or relating to these Terms or your use of the Services will be resolved through binding arbitration under the laws of Hong Kong. The arbitration will be conducted in English, and the arbitrator’s decision will be final and binding.

Class Action Waiver:
You waive any right to participate in a class action lawsuit or class-wide arbitration against Coinpilot.
